1. Introduction

These Terms & Conditions of Sale ("Terms") govern the sale of products by Origo Collections Europe B.V., trading as Darcy & Duke ("Darcy & Duke", "we", "our" or "us") through our website and other authorised sales channels.

By placing an order with us, you agree to these Terms.

These Terms do not limit or exclude any mandatory rights granted to consumers under applicable European Union or local consumer protection laws.

3. Products

We make every effort to ensure product descriptions, specifications and photographs are accurate.

Please note that:

• colours may vary due to different screens and lighting conditions;
• natural materials such as timber, stone, leather, linen, wool and fur will naturally vary in colour, texture and grain;
• handcrafted products may contain slight variations in finish or dimensions.

These characteristics are considered part of the product's natural appearance and are not defects.

We reserve the right to discontinue or modify products without prior notice.

4. Pricing

Unless stated otherwise:

• all prices are displayed in Euros (€);
• prices include VAT where applicable;
• the applicable VAT rate is determined according to the destination country and applicable tax legislation;
• shipping charges are calculated separately during checkout.

Despite our best efforts, pricing errors may occasionally occur. Where an obvious pricing error exists, we reserve the right to cancel the order before dispatch and provide a full refund.

5. Orders

Your order constitutes an offer to purchase our products.

An order is accepted only when we issue an Order Confirmation or dispatch the goods.

We reserve the right to refuse or cancel any order where:

• payment cannot be authorised;
• products are unavailable;
• incorrect pricing or product information has been published;
• fraudulent or suspicious activity is identified.

Where payment has already been received, a full refund will be issued.

6. Payment

Payment must be received in full before goods are dispatched unless separate written trade terms apply.

Trade customers with approved credit accounts must pay invoices within their agreed payment period.

Late payments may incur statutory interest and reasonable debt recovery costs where permitted by applicable law.

7. Delivery

Delivery information, shipping costs, estimated delivery times, inspections, returns and cancellations are governed by our separate Delivery & Returns Policy, which forms part of these Terms.

Estimated delivery dates are provided as guidance only.

We are not liable for delays caused by freight carriers, customs authorities, supplier delays or circumstances beyond our reasonable control.

8. Product Inspection

Customers should inspect products upon delivery.

If goods arrive damaged or incorrect, please notify us as soon as reasonably practicable and provide photographs where possible to assist with assessment.

9. Warranty

All products are covered by the statutory guarantees and warranties applicable under European Union and local consumer legislation.

Where an additional commercial warranty is offered, details will be provided with the relevant product.

Warranty does not cover:

• normal wear and tear;
• accidental damage;
• misuse or neglect;
• improper assembly or installation;
• failure to follow care instructions;
• unauthorised repairs or modifications;
• commercial or rental use unless specifically approved.

10. Product Care

Customers are responsible for following all care instructions supplied with each product.

Failure to follow these instructions may affect warranty coverage.

11. Intellectual Property

All website content, including but not limited to:

• logos;
• trademarks;
• product photography;
• catalogues;
• graphics;
• product descriptions;
• website design;
• marketing materials;

remains the property of Origo Collections Europe B.V. or its licensors.

No material may be copied, reproduced, distributed or used without our prior written permission.

12. Website Use

You agree not to:

• misuse our website;
• interfere with website functionality or security;
• upload malicious software;
• attempt unauthorised access to our systems;
• copy or scrape website content;
• use our website for unlawful purposes.

We reserve the right to suspend or terminate access where these Terms are breached.

13. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion is prohibited by law.

To the maximum extent permitted by applicable law, Darcy & Duke shall not be liable for indirect, incidental or consequential losses, including loss of profits, business interruption or loss of business opportunity.

Where liability cannot legally be excluded, our total liability shall not exceed the purchase price of the relevant product.

14. Force Majeure

We shall not be liable for delays or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control, including natural disasters, strikes, transport disruptions, pandemics, government actions, supplier shortages, power failures or similar events.

15. Privacy

Personal information is collected and processed in accordance with our Privacy Policy and applicable data protection legislation, including the General Data Protection Regulation (GDPR).

16. Amendments

We may update these Terms from time to time.

The version published on our website at the time an order is placed shall apply to that order.

17. Governing Law

These Terms are governed by the laws of the Netherlands.

If you are a consumer residing in another Member State of the European Union, you also benefit from any mandatory consumer protections provided by the laws of your country of residence.

Any disputes shall be submitted to the competent courts of the Netherlands unless mandatory law provides otherwise.
